Northern Star Resources positions for North American expansion with loan for Osisko Mining’s Windfall project

Northern Star Resources has underlined its intention to grow its business in North America after striking a $C154 million ($169m) loan agreement that could see it take a 50 per cent stake in a gold project in Canada. The Stuart Tonkin-led gold miner said on Wednesday it had signed a subscription agreement and debenture with Osisko Mining which holds the high-grade Windfall project in the French-speaking province of Quebec. The loan, which can be converted into project equity at 125 per cent of face value, gives Northern Star an exclusive right to negotiate to acquire up to a 50 per cent interest in the project. Mr Tonkin said the agreement delivered numerous benefits to Northern Star. “Partnering with Osisko provides a de-risked entry to a high-quality gold province on an advanced development project and aligns with our strategy,” he said. “A prospective 50/50 joint venture leverages the skills from both teams to deliver strong returns for our respective shareholders.“ Mr Tonkin described Osisko as a complementary partner to Northern Star with a proven track record of discovery and development and a strong commitment to ESG principles. Windfall hosts a measured and indicated resource of 6 billion tonnes at 9.6 grams per tonne for 1.86 million ounces. Osisko says the $C544m project is expected to deliver 300,000ozpa over an initial seven-year minelife, delivering average annual post-tax free cashflow of C$253m. The Toronto Stock Exchange-listed company is eyeing first production from Windfall in 2024. Osisko chairman and chief executive John Burzynski said the potential of joining forces with Northern Star, which he described as a well-respected gold producer with a depth of experience in mining underground high-grade deposits, would help de-risk the remaining work ahead to bring the project into production. RBC Capital Markets analyst Alexander Barkley said the Windfall project would add to the overall quality of Northern Star’s asset portfolio, while lifting scale and North American investor visibility. Northern Star’s flagged move into Canada follows its $347m acquisition of the Pogo gold mine in Alaska from Sumitomo in 2018, which represented its first acquisition in North America and its first expansion overseas. The company hinted at further expansion in North America in commentary around its $16b merger with Saracen Mineral Holdings in February. Northern Star shares closed steady at $9.44.
